Welcome to the TrooRoot community! We are thrilled to partner with you to bring healing, handmade goods to a wider audience. This Seller Terms & Conditions Agreement ("Agreement") governs your use of the TrooRoot platform ("Marketplace") as a seller ("Creator," "you," "your").
By registering for a Creator account and listing products on the Marketplace, you agree to be bound by this Agreement, our general Terms of Service, and our Privacy Policy. Please read these documents carefully.
1. Account Registration & Creator Obligations
Eligibility: To become a Creator, you must be at least 18 years old and be legally able to enter into a binding contract. You must create products that align with TrooRoot's brand ethos of healing, handmade, and community-focused goods.
Account Information: You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. You are solely responsible for any activity on your account and for keeping your password secure.
Brand Representation: As a Creator on TrooRoot, you represent a key part of our community. We expect you to conduct yourself professionally and respectfully in all interactions with buyers and TrooRoot staff.
2. Product Listings & Content
Permitted Items: You may only list items that are handmade by you or your small team. All products must fit within our established categories (Tinctures, Teas, Skincare, Rituals, etc.) and adhere to our quality and brand standards.
Prohibited Items: You may not list items that are mass-produced, make unsubstantiated medical claims, infringe on another party's intellectual property, or are illegal or hazardous. TrooRoot reserves the right to remove any listing at its sole discretion.
Listing Information: You are responsible for the accuracy and content of your listings. This includes clear titles, high-quality images, honest descriptions, full ingredient lists, sourcing transparency, and accurate pricing. You must not make any medical or health claims that are not compliant with applicable laws and regulations.
Intellectual Property: You warrant that you own all rights to the content, including images and text, that you upload to the Marketplace, and that your products do not infringe upon the copyright, trademark, or other rights of any third party.
3. Fees, Commissions, and Payments
Commission: TrooRoot charges a flat 10% commission on the total sale price (including shipping) of each item sold through the Marketplace. This commission is deducted automatically from the transaction. There are no listing fees.
Payment Processing: All payments are processed through Shopify Payments. Standard payment processing fees apply and are deducted from the transaction total.
Payouts: Payouts to you will be managed through the Webkul Multi-Vendor Marketplace dashboard. You are responsible for connecting a valid bank account or payment method and ensuring it remains up to date. Payouts will be processed on a [Specify Your Payout Schedule, e.g., weekly, bi-weekly, monthly] basis.
Taxes: You are solely responsible for collecting, reporting, and remitting any and all applicable taxes (such as sales tax and income tax) associated with your sales on the Marketplace.
4. Order Fulfillment and Shipping
Responsibility: You are responsible for the entire fulfillment process, including safely packaging and shipping your products to the buyer in a timely manner.
Shipping Times: You must clearly state your processing and shipping times in your product listings or creator profile. You are expected to ship orders within the timeframe you specify.
Shipping Policy: Your shipping practices must comply with TrooRoot's overall Shipping Policy. You are responsible for all shipping costs unless otherwise specified.
Communication: You must communicate professionally with buyers regarding order status, shipping, and any potential delays.
5. Customer Service, Refunds, and Returns
Buyer Communication: You are expected to respond to buyer inquiries and messages received through the platform within 48 hours.
Returns & Refunds: You agree to abide by TrooRoot's platform-wide Refund & Return Policy. You will be responsible for processing returns and issuing refunds for your products according to this policy. TrooRoot will facilitate this process through the platform, but the financial responsibility rests with you.
6. Disclaimers and Limitation of Liability
Product Liability: You are solely responsible for the products you sell on the Marketplace. TrooRoot is a venue and is not involved in the actual transaction between you and a buyer.
Healing/Health Disclaimer: You agree that any information provided about your products is for educational purposes only and not intended to diagnose, treat, cure, or prevent any disease. You must include a clear disclaimer on your product pages where appropriate. You agree to fully indemnify TrooRoot from any claims related to the use of your products.
No Warranty: TrooRoot does not guarantee that the Marketplace will be error-free or uninterrupted. We are not responsible for any lost sales or damages resulting from platform downtime.
7. Termination
Termination by You: You may terminate this Agreement at any time by closing your Creator account through your dashboard. You are still obligated to fulfill any outstanding orders.
Termination by TrooRoot: TrooRoot reserves the right to suspend or terminate your account at any time, without notice, for any violation of this Agreement or for any other reason, at our sole discretion.
8. Governing Law
This Agreement shall be governed by the laws of [Your State/Country], without regard to its conflict of law provisions.
TrooRoot reserves the right to update or modify these terms at any time. We will notify you of any significant changes, but it is your responsibility to review this Agreement periodically. Your continued use of the Marketplace after any changes constitutes your acceptance of the new terms.
